<p>\n            These Terms and Conditions of Sale govern quotations, orders, purchases,\n            and related transactions between Shanghai Jingyi Kanjing Trading Co., Ltd.,\n            operating under the PXI Source business name (\u201cPXI Source,\u201d \u201cwe,\u201d \u201cus,\u201d or\n            \u201cour\u201d), and the customer (\u201cCustomer,\u201d \u201cBuyer,\u201d or \u201cyou\u201d).\n        <\/p>\n\n        <p>\n            By submitting a purchase order, accepting a quotation, making a payment,\n            or accepting delivery of products or services from us, the Customer\n            acknowledges and agrees to these Terms and Conditions of Sale.\n        <\/p>\n    <\/section>\n\n    <!-- Scope -->\n    <section class=\"pxi-terms-section\">\n        <h3>1. Scope and Application<\/h3>\n\n        <p>\n            These terms apply to all products and services supplied by PXI Source,\n            including new, original, used, refurbished, surplus, discontinued, and\n            special-order test and measurement equipment, electronic components,\n            accessories, calibration services, and related technical or procurement\n            services.\n        <\/p>\n\n        <p>\n            These terms apply unless different terms are expressly accepted by us in\n            a written quotation, proforma invoice, sales contract, or other document\n            signed or formally confirmed by an authorized representative of PXI Source.\n        <\/p>\n\n        <p>\n            Any additional or conflicting terms contained in the Customer\u2019s purchase\n            order, procurement portal, standard conditions, email, or other document\n            will not apply unless we expressly accept them in writing.\n        <\/p>\n    <\/section>\n\n    <!-- Product Information -->\n    <section class=\"pxi-terms-section\">\n        <h3>2. Product Information and Specifications<\/h3>\n\n        <p>\n            Product descriptions, technical specifications, images, datasheets,\n            dimensions, performance figures, and other information displayed on our\n            website are provided for general reference.\n        <\/p>\n\n        <p>\n            Manufacturers may update specifications, appearance, packaging, firmware,\n            accessories, country of origin, or part numbers without prior notice.\n            Images may show optional accessories or configurations that are not\n            included in the quoted product.\n        <\/p>\n\n        <p>\n            The Customer is responsible for verifying the complete manufacturer part\n            number, model, revision, configuration, voltage, frequency, connector type,\n            software requirements, compatibility, and intended application before\n            placing an order.\n        <\/p>\n\n        <div class=\"pxi-terms-note\">\n            If an exact revision, serial-number range, calibration status, country of\n            origin, firmware version, or specific accessory is required, the Customer\n            must state that requirement before the quotation and order are confirmed.\n        <\/div>\n    <\/section>\n\n    <!-- Product Condition -->\n    <section class=\"pxi-terms-section\">\n        <h3>3. Packaging condition may vary for surplus or\n                            discontinued inventory unless factory-sealed packaging is\n                            expressly confirmed.\n                        <\/td>\n                    <\/tr>\n\n                    <tr>\n                        <td><strong>Used<\/strong><\/td>\n                        <td>\n                            A previously owned or operated product. Normal cosmetic\n                            signs of use may be present unless otherwise stated.\n                        <\/td>\n                    <\/tr>\n\n                    <tr>\n                        <td><strong>Refurbished<\/strong><\/td>\n                        <td>\n                            A previously owned product that has been inspected, tested,\n                            repaired, cleaned, or restored by the manufacturer or a\n                            qualified service provider.\n                        <\/td>\n                    <\/tr>\n\n                    <tr>\n                        <td><strong>Surplus \/ Open Box<\/strong><\/td>\n                        <td>\n                            Unused or minimally handled inventory that may have opened,\n                            replaced, aged, or non-retail packaging.\n                        <\/td>\n                    <\/tr>\n                <\/tbody>\n            <\/table>\n        <\/div>\n\n        <p>\n            Unless expressly stated in writing, accessories, cables, software,\n            licenses, manuals, mounting hardware, calibration certificates, and\n            original retail packaging are not guaranteed to be included.\n        <\/p>\n    <\/section>\n\n    <!-- Quotations -->\n    <section class=\"pxi-terms-section\">\n        <h3>4. Quotations<\/h3>\n\n        <p>\n            Quotations are based on the information available at the time of issue,\n            including product availability, supplier pricing, exchange rates, freight\n            costs, taxes, and project requirements.\n        <\/p>\n\n        <p>\n            Unless otherwise stated, quotations are valid only for the period shown on\n            the quotation. If no validity period is shown, the quotation will generally\n            remain valid for seven calendar days.\n        <\/p>\n\n        <p>\n            A quotation is not a reservation of inventory and does not create a binding\n            obligation to supply. Availability and final pricing must be reconfirmed\n            when the Customer places the order.\n        <\/p>\n\n        <p>\n            We may withdraw or revise a quotation before order acceptance if there is\n            an obvious pricing error, incorrect specification, change in availability,\n            manufacturer price adjustment, exchange-rate fluctuation, or other material\n            change beyond our reasonable control.\n        <\/p>\n    <\/section>\n\n    <!-- Orders -->\n    <section class=\"pxi-terms-section\">\n        <h3>5. Order Acceptance<\/h3>\n\n        <p>\n            A purchase order, website submission, payment, or other purchase request\n            submitted by the Customer constitutes an offer to purchase. An order is\n            accepted only after we issue a written order confirmation, proforma invoice,\n            sales contract, or otherwise confirm acceptance in writing.\n        <\/p>\n\n        <p>\n            We may request additional information before accepting an order, including:\n        <\/p>\n\n        <ul>\n            <li>Complete company and contact information;<\/li>\n            <li>Billing and delivery addresses;<\/li>\n            <li>Product model, part number, quantity, and configuration;<\/li>\n            <li>End-use, end-user, destination, or compliance information;<\/li>\n            <li>Tax, customs, import, or export documentation;<\/li>\n            <li>Payment verification or other reasonable commercial information.<\/li>\n        <\/ul>\n\n        <p>\n            We reserve the right to refuse or cancel an order before shipment where\n            required by law, compliance obligations, export restrictions, suspected\n            fraud, product unavailability, pricing errors, or other legitimate\n            commercial reasons. Any payment received for an unaccepted order will be\n            returned, less any non-refundable third-party charges where legally permitted.\n        <\/p>\n    <\/section>\n\n    <!-- Prices -->\n    <section class=\"pxi-terms-section\">\n        <h3>6. Prices, Taxes and Additional Charges<\/h3>\n\n        <p>\n            Prices are stated in the currency shown in the quotation or invoice. Unless\n            expressly included, prices do not include freight, insurance, customs duties,\n            import taxes, value-added tax, sales tax, withholding tax, brokerage fees,\n            bank fees, inspection charges, calibration charges, installation, or other\n            destination-related expenses.\n        <\/p>\n\n        <p>\n            The Customer is responsible for all taxes, duties, levies, and government\n            charges associated with the transaction, except for taxes imposed directly\n            on our net income.\n        <\/p>\n\n        <p>\n            If the Customer is legally required to withhold or deduct tax from a payment,\n            the Customer must increase the payment where legally permitted so that we\n            receive the full invoiced amount. The Customer must also provide official\n            evidence of the withholding payment.\n        <\/p>\n\n        <p>\n            Prices displayed on the website may be manufacturer list prices, reference\n            prices, estimated prices, or promotional prices and may differ from the\n            final purchase price. Please contact us for current availability and a\n            formal quotation.\n        <\/p>\n    <\/section>\n\n    <!-- Payment -->\n    <section class=\"pxi-terms-section\">\n        <h3>7. Payment Terms<\/h3>\n\n        <p>\n            Payment must be made in the currency, amount, method, and schedule stated\n            in the quotation, proforma invoice, sales contract, or order confirmation.\n        <\/p>\n\n        <p>\n            Depending on the order, we may require full payment in advance, a deposit\n            followed by balance payment before shipment, or another payment arrangement\n            expressly approved in writing.\n        <\/p>\n\n        <ul>\n            <li>Orders will not be processed until the required payment is received and verified.<\/li>\n            <li>Production or procurement lead time begins only after payment and all required order information are received.<\/li>\n            <li>The Customer is responsible for originating, intermediary, and receiving bank charges unless otherwise agreed.<\/li>\n            <li>Payment is considered complete only when cleared funds are credited to the account specified on our official invoice.<\/li>\n            <li>The Customer must verify account information directly with us before making payment.<\/li>\n        <\/ul>\n\n        <div class=\"pxi-terms-warning\">\n            PXI Source will not be responsible for payments sent to an incorrect,\n            unauthorized, or fraudulently substituted bank account. If payment\n            instructions appear to have changed, contact us through a previously\n            verified communication channel before transferring funds.\n        <\/div>\n    <\/section>\n\n    <!-- Credit -->\n    <section class=\"pxi-terms-section\">\n        <h3>8. Late or Outstanding Payments<\/h3>\n\n        <p>\n            If credit terms have been expressly approved and the Customer fails to pay\n            an amount when due, we may suspend procurement, production, shipment,\n            warranty processing, technical support, or other performance until all\n            outstanding amounts are paid.\n        <\/p>\n\n        <p>\n            To the extent permitted by applicable law, overdue amounts may be subject\n            to reasonable interest, collection costs, legal fees, storage charges,\n            exchange-rate losses, and other expenses incurred in recovering payment.\n        <\/p>\n\n        <p>\n            The Customer may not withhold or offset payment because of a separate claim\n            unless the deduction has been expressly accepted by us in writing or is\n            required by applicable law.\n        <\/p>\n    <\/section>\n\n    <!-- Lead Times -->\n    <section class=\"pxi-terms-section\">\n        <h3>9. Availability and Lead Times<\/h3>\n\n        <p>\n            Stock status and estimated lead times are provided in good faith based on\n            information available from manufacturers, suppliers, warehouses, and\n            logistics providers.\n        <\/p>\n\n        <p>\n            Unless expressly guaranteed in a signed agreement, all lead times and\n            delivery dates are estimates and do not constitute fixed deadlines.\n            Estimated lead time may change because of:\n        <\/p>\n\n        <ul>\n            <li>Manufacturer production schedules or allocation;<\/li>\n            <li>Component shortages or discontinued products;<\/li>\n            <li>Supplier availability or inventory discrepancies;<\/li>\n            <li>Calibration, testing, configuration, or inspection requirements;<\/li>\n            <li>Export licensing, customs review, or compliance checks;<\/li>\n            <li>Carrier capacity, weather, holidays, or transportation disruption;<\/li>\n            <li>Other events beyond our reasonable control.<\/li>\n        <\/ul>\n\n        <p>\n            A delay does not automatically give the Customer the right to cancel an\n            accepted order, refuse delivery, or claim compensation.\n        <\/p>\n    <\/section>\n\n    <!-- Shipping -->\n    <section class=\"pxi-terms-section\">\n        <h3>10. Shipping and Delivery<\/h3>\n\n        <p>\n            Shipping method, delivery terms, destination, and freight charges will be\n            stated in the quotation, invoice, or order confirmation where applicable.\n        <\/p>\n\n        <p>\n            Unless otherwise agreed in writing, the Customer is responsible for\n            providing a complete and accurate delivery address, consignee information,\n            telephone number, tax number, import documentation, and any special\n            shipping instructions.\n        <\/p>\n\n        <p>\n            Additional costs resulting from incorrect information, failed delivery,\n            address changes, storage, customs delays, re-delivery, or return-to-sender\n            services may be charged to the Customer.\n        <\/p>\n\n        <p>\n            We may make partial shipments when products have different lead times,\n            shipping restrictions, or supply sources. Partial shipments may be\n            separately invoiced where appropriate.\n        <\/p>\n\n        <p>\n            Detailed shipping provisions are also described in our\n            <a href=\"\/ru\/shipping-delivery\/\">Shipping &amp; Delivery Policy<\/a>.\n        <\/p>\n    <\/section>\n\n    <!-- Risk and Title -->\n    <section class=\"pxi-terms-section\">\n        <h3>11. Risk of Loss and Ownership<\/h3>\n\n        <p>\n            Risk of loss or damage transfers according to the Incoterm or delivery term\n            stated in the quotation, invoice, or order confirmation. If no delivery\n            term is stated, risk generally transfers to the Customer when the products\n            are handed to the first carrier at the shipping location.\n        <\/p>\n\n        <p>\n            Title to and ownership of the products remain with PXI Source until we have\n            received full payment of all amounts due for those products, to the extent\n            permitted by applicable law.\n        <\/p>\n\n        <p>\n            The Customer must not pledge, resell, modify, or otherwise dispose of\n            unpaid products in a manner that interferes with our ownership rights.\n        <\/p>\n    <\/section>\n\n    <!-- Inspection -->\n    <section class=\"pxi-terms-section\">\n        <h3>12. Inspection and Acceptance<\/h3>\n\n        <p>\n            The Customer must inspect the shipment promptly after delivery and verify:\n        <\/p>\n\n        <ul>\n            <li>The number and condition of packages;<\/li>\n            <li>The product model, part number, quantity, and accessories;<\/li>\n            <li>Whether there is visible transportation damage;<\/li>\n            <li>Whether the product corresponds to the confirmed order.<\/li>\n        <\/ul>\n\n        <p>\n            Claims concerning visible damage, shortage, incorrect products, or packaging\n            damage should be submitted in writing within seven calendar days after\n            delivery, unless a different period is required by applicable law or stated\n            in our policies.\n        <\/p>\n\n        <p>\n            The Customer should retain the original packaging and provide clear\n            photographs, videos, delivery records, carrier documents, serial numbers,\n            and other evidence reasonably requested for claim assessment.\n        <\/p>\n\n        <p>\n            Failure to report a visible issue within a reasonable period may be treated\n            as acceptance of the shipment, without affecting any non-waivable legal\n            rights or valid warranty claim concerning a latent defect.\n        <\/p>\n    <\/section>\n\n    <!-- Cancellation -->\n    <section class=\"pxi-terms-section\">\n        <h3>13. Order Changes and Cancellation<\/h3>\n\n        <p>\n            Requests to change or cancel an order must be submitted in writing and are\n            subject to our approval.\n        <\/p>\n\n        <p>\n            An order may not be changed or cancelled after procurement, production,\n            supplier confirmation, calibration, configuration, inspection, packaging,\n            export preparation, or shipment has begun.\n        <\/p>\n\n        <p>\n            The following orders are generally non-cancellable:\n        <\/p>\n\n        <ul>\n            <li>Manufacturer special-order products;<\/li>\n            <li>Customized, configured, modified, or calibrated products;<\/li>\n            <li>Discontinued, obsolete, allocated, or specially sourced products;<\/li>\n            <li>Software, licenses, subscriptions, and electronically delivered products;<\/li>\n            <li>Products purchased specifically to meet the Customer\u2019s requirements;<\/li>\n            <li>Orders already shipped or formally committed to a supplier.<\/li>\n        <\/ul>\n\n        <p>\n            If we approve a cancellation, the Customer may be responsible for supplier\n            cancellation fees, procurement costs, calibration charges, banking fees,\n            currency losses, administrative expenses, and other non-recoverable costs.\n        <\/p>\n    <\/section>\n\n    <!-- Returns -->\n    <section class=\"pxi-terms-section\">\n        <h3>14. Returns and Refunds<\/h3>\n\n        <p>\n            Products may not be returned without our prior written authorization.\n            Contacting us or sending a product back does not automatically create a\n            right to return or receive a refund.\n        <\/p>\n\n        <p>\n            Approved returns must be shipped to the address provided in our written\n            return authorization and must include the assigned return reference,\n            original accessories, documentation, and secure packaging.\n        <\/p>\n\n        <p>\n            Returns may be refused or subject to inspection, testing, restocking,\n            calibration, repair, shipping, customs, or administrative charges where\n            permitted by applicable law.\n        <\/p>\n\n        <p>\n            Full return conditions are described in our\n            <a href=\"\/ru\/returns-refunds\/\">Returns &amp; Refunds Policy<\/a>.\n        <\/p>\n    <\/section>\n\n    <!-- Warranty -->\n    <section class=\"pxi-terms-section\">\n        <h3>15. Warranty<\/h3>\n\n        <p>\n            The applicable warranty period and warranty provider depend on the product\n            condition, manufacturer, supply channel, and terms stated in the quotation,\n            invoice, or order confirmation.\n        <\/p>\n\n        <p>\n            New products may be covered by the original manufacturer\u2019s warranty where\n            that warranty is available and transferable.
